Position Summary

The firm is seeking a Corporate/M&A Associate with approximately 5+ years of relevant transactional experience. The ideal candidate will have a strong background in corporate transactions, mergers and acquisitions, and related matters. This position offers the opportunity to work on sophisticated deals in an environment that values collaboration, client service, and professional development.

Key Responsibilities

  • Transactional Support: Assist and advise on a wide range of corporate matters including mergers and acquisitions, joint ventures, corporate restructurings, and general corporate governance.
  • Deal Execution: Perform due diligence, draft and review definitive transaction agreements, coordinate with opposing counsel and stakeholders, and support partners in the negotiation process.
  • Client Engagement: Communicate effectively with clients, developing a deep understanding of their business and goals to deliver tailored legal solutions.
  • Research & Analysis: Conduct thorough legal research on relevant statutes, regulations, and case law; draft memoranda and opinion letters to guide client decision-making.
  • Collaboration: Work closely with partners, fellow associates, and paralegals to provide seamless client service; assist in mentoring junior team members as appropriate.

Qualifications & Requirements

  • Education & Licensure: Juris Doctor (J.D.) from an accredited law school; active membership in the Texas State Bar.
  • Experience: Approximately 5+ years of experience in corporate transactional and M&A work, preferably gained from a reputable law firm environment.
  • Technical Expertise: Proficiency in drafting and negotiating purchase agreements, shareholder agreements, operating agreements, and related corporate documentation.
  • Communication Skills: Strong written and verbal communication abilities; comfortable presenting complex legal concepts to clients and colleagues.
  • Client-Focused Approach: Demonstrated commitment to providing pragmatic, solutions-oriented counsel in a fast-paced transactional setting.
  • Team Player: Collaborative mindset, willing to share knowledge and resources, and contribute to a positive team culture.
