Position Summary
The firm is seeking a Corporate/M&A Associate with approximately 5+ years of relevant transactional experience. The ideal candidate will have a strong background in corporate transactions, mergers and acquisitions, and related matters. Key Responsibilities
- Transactional Support: Assist and advise on a wide range of corporate matters including mergers and acquisitions, joint ventures, corporate restructurings, and general corporate governance.
- Deal Execution: Perform due diligence, draft and review definitive transaction agreements, coordinate with opposing counsel and stakeholders, and support partners in the negotiation process.
- Client Engagement: Communicate effectively with clients, developing a deep understanding of their business and goals to deliver tailored legal solutions.
- Research & Analysis: Conduct thorough legal research on relevant statutes, regulations, and case law; draft memoranda and opinion letters to guide client decision-making.
- Collaboration: Work closely with partners, fellow associates, and paralegals to provide seamless client service; assist in mentoring junior team members as appropriate.
Qualifications & Requirements
- Education & Licensure: Juris Doctor (J.D.) from an accredited law school; active membership in the Texas State Bar.
- Experience: Approximately 5+ years of experience in corporate transactional and M&A work, preferably gained from a reputable law firm environment.
- Technical Expertise: Proficiency in drafting and negotiating purchase agreements, shareholder agreements, operating agreements, and related corporate documentation.
- Communication Skills: Strong written and verbal communication abilities; comfortable presenting complex legal concepts to clients and colleagues.
- Client-Focused Approach: Demonstrated commitment to providing pragmatic, solutions-oriented counsel in a fast-paced transactional setting.
